Marc S. Reisler is a partner in the Business Section of Holland & Knight’s New York office. He focuses primarily on secured and unsecured commercial finance transactions. Mr. Reisler represents commercial banks, investment banks as well as non-bank lenders, such as hedge funds and finance companies. He also represents buyers and sellers in corporate acquisitions.

Financing of Financial Services Companies

Mr. Reisler frequently represents lenders in secured loan transactions involving borrowers that are regulated consumer lenders and finance companies. He advises lenders on extending secured loans to specialty finance companies, small business finance companies, online consumer finance companies, operators of rent-to-own finance platforms, originators and purchasers of performing and non-performing consumer auto-loans, purchasers of distressed credit card and consumer mortgage receivables, and trade credit and purchase order finance companies.

Energy Financing

Mr. Reisler has considerable experience representing lenders that provide credit to energy companies, including loans to competitive Energy Service Companies (ESCOs) secured by their purchase of receivables programs. He has also represented underwriters in connection with capital markets financings of electric power projects.

Intellectual Property Financing

Mr. Reisler has significant experience representing lenders in connection with loans secured by intellectual property assets, including trademarks, copyrights and patents. He has worked on financings secured by fashion trademarks, music publishing catalogs, feature film libraries and patent portfolios.

Representing Borrowers in Credit Transactions

Mr. Reisler regularly represents borrowers in secured and unsecured credit transactions. In particular, he focuses on representing borrowers in the financial services industry, including hedge funds, broker dealers, commodity pool operators, futures commission merchants and retail foreign exchange dealers.

Securities Law Regulatory Advice

Mr. Reisler advises non-bank lenders in connection with securities law issues relating to originating and syndicating loan transactions.

Mergers and Acquisitions

In addition to his work for lenders and borrowers, Mr. Reisler frequently represents buyers and sellers in corporate acquisitions. Specifically, he has worked on numerous acquisitions of information technology, digital media and music companies. He also has experience in the purchase and sale of hedge fund interests.
