Melissa Krasnow is a corporate partner whose practice encompasses privacy, electronic and mobile commerce, social media, internet, securities and corporate governance and compliance law as well as domestic and cross-border mergers and acquisitions. She is a Certified Information Privacy Professional/US (CIPP/US) and serves on the CIPP/US Exam Development Board and the Canadian Advisory Board of the International Association of Privacy Professionals. Melissa is an expert commentator for the International Risk Management Institute on privacy and cyber risk and insurance at IRMI.com. She serves as outside advisor to the Financial Executives International Committee on Finance & IT for a white paper on cybersecurity. Melissa frequently speaks and publishes on a national basis and is often quoted in the media, including American Lawyer Media, Bloomberg BNA, Corporate Secretary, Law360 and Washington Internet Daily.

Melissa handles mergers and acquisitions, often serving as U.S. counsel in cross-border mergers and acquisitions of portfolio companies by private equity firms and related financings and private placements. She advises clients on foreign investment filing obligations (for example, U.S. Department of Commerce and the Committee on Foreign Investment in the United States (CFIUS)). Melissa also advises on the transfer of information in mergers and acquisitions, conducts privacy due diligence and prepares privacy provisions in agreements and disclosure schedules.

Melissa advises clients ranging from Fortune Global 500 and Fortune 500 companies to other U.S. public and private companies and non-profits on privacy and related matters.

Melissa counsels clients on both electronic and paper nationwide data breaches implicating state privacy laws and the federal HIPAA / HITECH Act and on global data breaches, including investigations and notifications to domestic and foreign regulators, individuals and others, as well as regarding enforcement.

She advises clients on navigating and complying with state, federal and international privacy, advertising and marketing (for example, COPPA, CAN-SPAM Act and FTC endorsement and testimonial guides), securities and corporate governance and anti-money laundering and payment and gift card laws and guidance and industry laws (for example, Gramm-Leach-Bliley Act) and standards (for example, PCI DSS).

Melissa counsels clients on corporate, privacy, regulatory and industry compliance and on risk assessment. She reviews and prepares privacy, information security, mobile, text message, social media, corporate and technology policies (for example, website and mobile application privacy policies and terms and record retention policies) and agreements (for example, outsourcing). She also reviews cyber liability insurance policies and SEC disclosure.
